Welcome to VA Success Academy Org (www.vasuccessacademy.org), operated by registered sole proprietor Jan Drey R. Sameon. By accessing our website, enrolling in our training programs, or engaging our virtual assistant staffing and digital services, you agree to comply with and be bound by the following Terms of Use.

1. SCOPE OF SERVICES

VA Success Academy Org provides virtual assistant (VA) skills training, mentorship, administrative consulting, and virtual staffing placements for business clients globally. All engagements, whether training enrollments or staffing placements, are governed by these Terms.

2. PAYMENT TERMS & INVOICING

- Billing & Fees: Client services and training enrollment fees are billed according to agreed service invoices issued by VA Success Academy Org.

- Manual Payment Method: Payments are processed via authorized bank transfers, electronic payments, or official invoicing channels. All payments must be settled before service delivery or candidate placement.

- Refund Policy: Service fees, consultation deposits, and placement retainers are non-refundable once service onboarding or staff introduction has commenced, unless explicitly agreed upon in writing.

3. NON-SOLICITATION & ANTI-POACHING POLICY (CRITICAL NOTICE FOR BUSINESS CLIENTS)

- Restriction: Clients agree not to solicit, recruit, hire, or engage directly or indirectly any Virtual Assistant, Contractor, or Staff introduced or placed by VA Success Academy Org during active service and for twelve (24) months following contract termination.

- Authorized Direct Hire Buy-Out: If a Client wishes to engage a placed VA directly outside our agency platform, the Client must obtain prior written consent and pay a mandatory Direct Hire Placement Fee of $10,000.00 USD per staff member prior to engagement.

- Unauthorized Circumvention Penalty: Any attempt to circumvent VA Success Academy Org or Jan Drey Sameon and directly engage placed personnel without consent and full buy-out payment constitutes a material breach. The Client agrees to pay liquidated damages of $10,000.00 USD per staff member plus all legal fees and collection costs.

4. INTELLECTUAL PROPERTY RIGHTS

All materials, training course modules, templates, website branding, and digital assets on www.vasuccessacademy.org are the sole property of VA Success Academy Org. Unauthorized reproduction, distribution, or resale of our training content is strictly prohibited.

5. LIMITATION OF LIABILITY

VA Success Academy Org acts as a professional training and staffing placement facilitator. While we rigorously screen and train all Virtual Assistants, we are not liable for indirect, consequential, or incidental business losses arising from third-party client work operations or platform outages.

6. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes shall be submitted to the exclusive jurisdiction of the competent courts of Cagayan de Oro City, Misamis Oriental, Philippines.
